  Notice given that the Administrative Law Judge has completed a review of the application and motion for confidential treatment filed by Verde Energy USA Illinois, LLC ("Applicant") on September 30, 2011 and hereby rules that the information described below shall be filed with the Chief Clerk of the Illinois Commerce Commission on or before October 19, 2011. The response to this ruling shall be verified and must be actually received by the date indicated, regardless of whether the response is filed with the Chief Clerk electronically or as hardcopy. Applicant shall also electronically serve a Word version of its response on the Administrative Law Judge (jalbers@icc.illinois.gov) by the date indicated. Confidential Information - A review of the redacted and unredacted attachments to the application has identified discrepancies and shortcomings in the information provided. For example, there is a redacted version of Attachment 7, but not an unredacted version. Also, the redacted versions of the allegedly confidential attachments have been redacted in their entirety without explanation. To remedy this situation, Applicant is directed to (1) submit each allegedly confidential attachment (as well as the public version thereof) as a separate document with a request to the Chief Clerk that each document be loaded on e-Docket as a separate document identified by its attachment number, (2) redact from the confidential version of each attachment only that specific information which warrants confidential treatment, (3) explain what specific harm will occur if the particular information redacted from each document is available to the public, and (4) explain why confidential treatment is warranted until September 28, 2016 as opposed to two years or other lesser period. Financial Requirements - Applicant is attempting to meet 83 Ill. Adm. Code 451.320(a)(2) using a Services Agreement (Attachment 5) with Verde Energy USA, Inc. (“Verde USA”) and supporting contracts and agreements, including the Global Agreement, Loan Agreement, Master Power and Sale Agreement, and Scheduling Coordinator Agreement (Attachments 1 – 4). Applicant must demonstrate that the line of credit arrangements to Verde USA and other affiliated companies from Shell Energy North America (US) L.P., referenced in its application and located in the Loan Agreement (Attachment 3), contain language that specifically ensures that $1,000,000 is for use in Illinois (similar to the Services Agreement language). Applicant must also certify that the language contained in the Services Agreement, Loan Agreement, or any other contract or agreement does not contain any limiting covenants or conditions that would reduce the effective amount of credit available to meet the requirements in Section 451.320(a)(2). Managerial Requirements - Pursuant to 83 Ill. Adm. Code 451.340(d), an alternative retail electric supplier (“ARES”) serving residential and small commercial retail customers must maintain sufficient managerial resources and abilities to provide the service for which it has a certificate of authority. Applicant did not affirm that it would do so upon receiving authority to operate as an ARES. Applicant must certify that it will maintain sufficient managerial resources and abilities to provide service before its application can be granted. Notice served electronically to parties.
